BUYER AGREEMENT
(DOCBOON Platform)
1. INTRODUCTION
This Buyer Agreement (“Agreement”) governs all purchases made through the DOCBOON Platform.
The Platform is intended exclusively for hospitals, medical practitioners, and institutional buyers.
By creating an account, placing an order, or using the Platform, the Buyer agrees to be bound by this Agreement.
2. COMMERCIAL NATURE OF PLATFORM
All transactions on the Platform are:
- Business-to-Business (B2B) commercial procurement transactions
- Conducted in the course of professional or institutional use
The Buyer expressly confirms that:
- The Buyer is acting in a professional or institutional capacity
- The Buyer is not a retail consumer
- The Buyer possesses adequate technical knowledge
- Independent due diligence has been conducted
3. PLATFORM ROLE
DOCBOON operates solely as a technology intermediary platform.
DOCBOON does not:
- Manufacture products
- Act as seller of record
- Control product quality, storage, or usage
All transactions occur directly between Buyer and Seller.
4. NON-RELIANCE & PROCUREMENT AFFIRMATION
The Buyer confirms that
- No reliance is placed on any representation, warranty, or statement made by DOCBOON
- All purchasing decisions are based on independent evaluation and professional judgment
DOCBOON shall not be deemed to have:
- Advised
- Recommended
- Endorsed
- Certified
any product.
5. PRODUCT SELECTION & USE RESPONSIBILITY
The Buyer is solely responsible for:
- Product selection
- Suitability for intended use
- Storage and handling
- Compliance with applicable laws and medical standards
6. INSPECTION & ACCEPTANCE (STRICT)
The Buyer shall:
- Inspect goods immediately upon delivery
- Verify:
- Quantity
- Condition
- Batch
- Expiry
Failure to report discrepancies within 48 hours of delivery shall constitute:
👉 Irrevocable, unconditional, and final acceptance of goods
All claims thereafter shall stand waived.
7. RETURNS, CLAIMS & CANCELLATION
- Returns and claims shall be governed strictly by the Return Policy
- Cancellation shall be governed strictly by the Cancellation Policy
The Buyer acknowledges that:
- Returns are limited and conditional
- Claims are time-bound and evidence-based
- Orders cannot be cancelled after dispatch
8. SHIPPING & DELIVERY
- Delivery timelines are indicative and not guaranteed
- Risk in goods transfers to the Buyer upon delivery
All shipping matters shall be governed by the Shipping Policy.
9. PAYMENT & SETTLEMENT TERMS (INTEGRATED)
9.1 Prepaid Model
- All orders must be paid in full at the time of placement
- No credit facility is provided
9.2 Platform Role
DOCBOON acts as:
- Payment collection facilitator
- Settlement intermediary
9.3 Fund Holding Mechanism
Buyer acknowledges that:
- Payments shall be held by DOCBOON until:
- Delivery confirmation, AND
- Expiry of the claim window (48 hours)
9.4 Refund Handling
- Refunds (if applicable) shall be processed by DOCBOON
- Refund eligibility is governed strictly by Return Policy
9.5 No Set-Off or Deduction
The Buyer shall not:
- Withhold payments
- Deduct amounts
- Set-off claims
against any transaction.
10. BULK / INSTITUTIONAL TRANSACTIONS (OVERRIDE CLAUSE)
If a transaction qualifies as bulk or institutional (including but not limited to high-value or commercial orders), the Buyer agrees that:
- Stricter conditions shall apply
- Orders are final and non-returnable except where specifically permitted
- Procurement responsibility rests entirely with the Buyer
The Buyer further agrees that:
- Errors in quantity, selection, or forecasting shall not be grounds for return or refund
- Storage, handling, and expiry risks are solely borne by the Buyer
DOCBOON shall have sole discretion to classify a transaction as bulk/institutional.
11. PRODUCT LIABILITY & CLINICAL USE
The Buyer assumes full responsibility for:
- Product usage
- Clinical application
- Patient outcomes
DOCBOON shall have no liability whatsoever for:
- Product defects
- Clinical outcomes
- Adverse events
12. REGULATORY RESPONSIBILITY
The Buyer is responsible for:
- Compliance with applicable laws
- Licensing and regulatory requirements
- Proper storage and use of products
13. LIMITATION OF LIABILITY
DOCBOON shall not be liable for:
- Indirect or consequential losses
- Business loss or operational disruption
- Clinical or patient-related claims
14. INDEMNITY
The Buyer agrees to indemnify and hold harmless DOCBOON from:
- Product usage claims
- Clinical or patient-related claims
- Regulatory actions
- Third-party disputes
including all costs and legal expenses.
15. FRAUD & MISUSE
DOCBOON reserves the right to:
- Reject suspicious transactions
- Block accounts
- Initiate legal proceedings
16. PLATFORM RIGHTS
DOCBOON may:
- Cancel orders
- Hold transactions
- Restrict access
where required for operational, regulatory, or risk control purposes.
17. ELECTRONIC RECORDS
All Platform records shall be treated as valid electronic evidence.
18. FORCE MAJEURE
DOCBOON shall not be liable for delays or failures due to events beyond its control.
19. POLICY INTEGRATION
This Agreement shall be read together with:
- Terms of Use & Disclaimer
- Return Policy
- Cancellation Policy
- Shipping Policy
- Privacy Policy
Stricter provisions shall prevail.
20. GOVERNING LAW & JURISDICTION
Governed by laws of India.
Jurisdiction: Courts at Ambala, Haryana.
21. ACKNOWLEDGMENT
By using the Platform or placing an order, the Buyer:
- Accepts this Agreement in full
- Confirms commercial intent
- Assumes all risks associated with procurement and usage
