By accessing, registering, or using DOCBOON (“Platform”), you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. INTERMEDIARY STATUS (FOUNDATION CLAUSE)

DOCBOON operates strictly as a technology intermediary platform facilitating transactions between independent buyers and sellers.

DOCBOON does not:

•  Manufacture products
•  Stock, warehouse, or own inventory (unless explicitly stated)
•  Act as seller of record
• Control product specifications, storage, or usage

All transactions are concluded directly between buyers and sellers.

2. NO CONTROL OVER PRODUCTS OR SERVICES

DOCBOON does not control and is not responsible for:

•  Product quality, safety, or performance
•  Accuracy or completeness of listings
•  Storage, handling, or transportation
•  Seller conduct or representations

All such responsibility lies solely with the seller and/or manufacturer.

3. ABSOLUTE PRODUCT & CLINICAL LIABILITY DISCLAIMER

To the fullest extent permitted by law, DOCBOON shall have no liability whatsoever for:

•  Product defects or failures
•  Adverse reactions or complications
•  Clinical outcomes or treatment decisions
•  Patient injury, morbidity, or mortality

All risks arising from procurement, storage, handling, and use rest solely with:

•  The buyer (including hospitals, clinics, practitioners)
•  The seller and/or manufacturer

4. NO MEDICAL ADVICE / NO PROFESSIONAL RELATIONSHIP

•  DOCBOON does not provide medical advice
•  No doctor-patient or professional relationship is created
•  All clinical decisions are made independently by qualified professionals

5. NON-RELIANCE & AFFIRMATION

By using the Platform, the user expressly confirms that:

•  The transaction is conducted in the course of business or professional use
•  The user has adequate knowledge and expertise to evaluate products
•  The user has not relied upon any representation or warranty by DOCBOON

The user further affirms that:

•  All decisions are based on independent verification and judgment
• DOCBOON has not influenced or recommended any product

This clause shall operate as a binding non-reliance declaration, and all claims based on alleged reliance are expressly waived.

6. NO RELIANCE ON PLATFORM CONTENT

All information on the Platform is provided for general reference only.

DOCBOON makes no warranties regarding:

•  Accuracy
•  Completeness
•  Suitability

Users must independently verify all information before use.

7. REGULATORY COMPLIANCE DISCLAIMER

DOCBOON does not guarantee or certify compliance with any applicable laws, including:

•  Drugs and Cosmetics Act, 1940
•  Medical Device Rules, 2017
•  CDSCO requirements
•  Legal Metrology laws
•  GST and taxation laws
•  Import/export regulations

All responsibility for compliance, licensing, approvals, labeling, and lawful usage rests solely with the seller and/or buyer.

8. PAYMENT & TRANSACTION DISCLAIMER

•  DOCBOON acts as a payment collection facilitator
•  Payments are processed through third-party gateways

DOCBOON shall not be liable for:

•  Payment failures or delays
•  Banking or gateway errors
•  Unauthorized transactions beyond reasonable control

9. LOGISTICS & DELIVERY DISCLAIMER

DOCBOON does not operate as a logistics provider.

DOCBOON shall not be liable for:

•  Delivery delays
•  Transit damage
•  Cold-chain failures
•  Loss in transit

Risk transfers to the buyer upon delivery.

10. INSURANCE DISCLAIMER

DOCBOON does not provide or maintain:

•  Product liability insurance
•  Professional indemnity insurance
•  Clinical risk coverage
•  Transit or logistics insurance

Such responsibilities lie solely with sellers and/or buyers.

DOCBOON shall have no liability for losses that could have been covered under such insurance.

11. LIMITATION OF LIABILITY (STRICT)

To the maximum extent permitted by law:

•  DOCBOON shall not be liable for:
  •  Indirect, incidental, or consequential damages
  •  Loss of profits, business, or reputation
•  Aggregate liability, if any, shall be limited to the commission earned by DOCBOON in the relevant transaction

12. INDEMNITY (CRITICAL PROTECTION)

Users (buyers and sellers) agree to indemnify and hold harmless DOCBOON from:

•  Product liability claims
• Clinical or patient-related claims
•  Regulatory actions
•  Third-party disputes

including all legal costs and expenses.

13. ELECTRONIC RECORDS & EVIDENCE

All platform records, including:

•  Order logs
•  Payment data
•  Communication records

shall be treated as valid electronic evidence.

14. PLATFORM CONTROL & RIGHTS

DOCBOON reserves the right to:

•  Suspend or terminate accounts
•  Cancel transactions
•  Hold or reverse payments
•  Remove listings

without prior notice where necessary.

15. REGULATORY AUDIT & DEFENSE POSITION

In case of inspection or investigation by authorities:

•  DOCBOON shall be treated as a technology intermediary only
•  DOCBOON does not manufacture, store, or distribute products

All regulatory responsibility lies solely with the seller and/or buyer.

DOCBOON may disclose records to authorities as required by law.

16. FORCE MAJEURE

DOCBOON shall not be liable for delays or failures due to events beyond its control, including:

•  Natural disasters
•  Government actions
•  System or network failures

17. POLICY INTEGRATION

This Disclaimer shall be read with:

•  Return & Refund Policy
•  Shipping Policy
•  Privacy Policy
•  Buyer Agreement
•  Seller Agreement

Stricter provisions shall prevail.

18. SEVERABILITY & ENFORCEABILITY

If any provision is held invalid, the remaining provisions shall continue in full force.

19. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of India.

Exclusive jurisdiction: Courts at Ambala, Haryana.

20. ACKNOWLEDGMENT

By using the Platform, you confirm that:

•  You understand the intermediary nature of DOCBOON
•  You assume all risks associated with transactions
•  These terms are reasonable, binding, and enforceable
