SELLER AGREEMENT

(DOCBOON Platform)

1. INTRODUCTION

This Seller Agreement (“Agreement”) governs the relationship between DOCBOON (“Platform”) and the Seller.

The Platform operates as a B2B marketplace serving hospitals, medical practitioners, and institutional buyers.

By registering, listing products, or using the Platform, the Seller agrees to be bound by this Agreement.

2. NATURE OF RELATIONSHIP

• Seller is an independent contractor
•  DOCBOON acts solely as a technology intermediary

Nothing in this Agreement creates:

• Partnership
•  Agency
•  Employment

Seller remains the seller of record for all transactions.

Seller acknowledges that:

•  All buyers are professional/institutional
•  All transactions are commercial
•  Consumer standards do not apply

3. SELLER REGISTRATION & ELIGIBILITY

Seller shall:

•  Provide accurate and complete information
•  Maintain valid licenses and approvals
•  Submit KYC and compliance documents

DOCBOON reserves the right to:

• Approve, reject, or suspend sellers
•  Request documents at any time

4. REGULATORY COMPLIANCE

Seller shall comply with all applicable laws, including:

•  Drugs and Cosmetics Act, 1940
•  Medical Device Rules, 2017
•  CDSCO requirements
•  GST laws
•  Legal Metrology

Seller is solely responsible for:

•  Licensing
•  Product approvals
•  Labeling
•  Storage and transport

DOCBOON bears no regulatory responsibility.

5. PRODUCT LISTING & AUTHENTICITY

Seller shall ensure:

•  Accurate descriptions
•  Correct pricing
•  Valid batch and expiry
•  Authentic and compliant products

Seller shall not list:

•  Counterfeit
•  Expired
•  Illegal products

6. ORDER FULFILLMENT

Seller shall:

•  Process orders promptly
•  Dispatch within timelines
•  Ensure proper packaging

Seller is responsible for:

•  Logistics
•  Delivery execution

7. PAYMENT & SETTLEMENT

7.1 Collection

•  All payments are collected by DOCBOON as intermediary

7.2 Fund Holding Mechanism

Seller acknowledges that:

•  Funds are held until:
  •  Delivery confirmation
  •  Expiry of claim window (48 hours)

7.3 Payout Eligibility

Seller becomes eligible for payout only when:

•  Delivery is completed
•  No valid claim is raised within claim window

7.4 Payout Calculation

Payout = Order Value – Platform Commission – Logistics Charges – Taxes – Adjustments

7.5 Payout Timeline

•  Processed within 2–5 working days after eligibility

7.6 Adjustment & Recovery Rights

DOCBOON reserves absolute right to:

•  Withhold payouts
•  Adjust future settlements
•  Recover amounts

including for:

•  Returns / refunds
•  Claims
•  Pricing errors
•  Fraud
•  Regulatory issues

7.7 Negative Balance

If liabilities exceed payouts:

•  Seller account may go negative
•  Seller must:
  •  Pay outstanding amount OR
  •  Allow adjustment from future payouts

DOCBOON may initiate recovery proceedings.

7.8 Refund Handling

•  Refunds shall be processed by DOCBOON
•  Seller agrees:
  • Refunds may be processed without prior consent
  •  Approved refunds are binding

8. RETURNS & CLAIMS

Seller agrees to:

•  Accept valid claims
•  Cooperate in resolution

All claims governed by Return Policy.

Seller shall not:

•  Refuse valid claims
•  Delay resolution

9. PRODUCT LIABILITY

Seller assumes full liability for:

•  Product defects
•  Regulatory violations
•  Clinical outcomes
•  Patient-related claims

DOCBOON shall have no liability whatsoever.

10. DATA PROTECTION (LINKED TO DPA)

Seller shall comply with:

Seller shall:

•  Use data only for order purposes
•  Not misuse or share data
•  Maintain security

Seller bears full liability for data breaches.

11. PROHIBITED ACTIVITIES

Seller shall not:

•  Misrepresent products
•  Manipulate orders
•  Circumvent platform
•  Engage in fraud

12. PERFORMANCE & MONITORING

DOCBOON may evaluate seller based on:

•  Dispatch performance
•  Complaint rates
•  Return ratios

DOCBOON may:

•  Penalize
•  Restrict listings
•  Suspend account

13. PLATFORM RIGHTS

DOCBOON may:

•  Remove listings
•  Cancel orders
•  Hold payments
•  Suspend or terminate sellers

without prior notice where necessary.

14. TERMINATION

DOCBOON may terminate:

•  Immediately for breach
•  For regulatory reasons
•  For operational control

Seller remains liable for prior obligations.

15. LIMITATION OF LIABILITY

DOCBOON shall not be liable for:

•  Loss of business
•  Loss of profits
•  Indirect damages

16. INDEMNITY

Seller shall indemnify DOCBOON from:

•  Product liability claims
•  Regulatory actions
•  Third-party disputes

including all costs and legal expenses.

17. AUDIT & REGULATORY DEFENSE

In case of inspection:

•  Seller bears full responsibility
•  DOCBOON acts as intermediary

Seller must cooperate fully.

18. ELECTRONIC RECORDS

All platform records are valid electronic evidence.

19. FORCE MAJEURE

DOCBOON not liable for events beyond control.

20. POLICY INTEGRATION

This Agreement shall be read with:

•  Terms of Use & Disclaimer
•  Return Policy
•  Cancellation Policy
•  Shipping Policy
•  Privacy Policy
•  Data Processing Agreement (DPA)

Stricter provisions shall prevail.

21. GOVERNING LAW & JURISDICTION

Governed by laws of India.

Jurisdiction: Courts at Ambala, Haryana.

22. ACKNOWLEDGMENT

By onboarding, the Seller:

•  Accepts this Agreement
•  Assumes all product and compliance risks
•  Agrees to indemnify DOCBOON
